1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and TheCloud.market ("Company", "we", "us", or "our"), a company registered in India, governing your access to and use of our website at www.thecloud.market and all services offered therein, including domain registration, shared web hosting, VPS hosting, cloud storage, and email hosting (collectively, "Services").
By registering an account, placing an order, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, Refund Policy, Acceptable Use Policy, and Service Level Agreement, all of which are incorporated herein by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
Note:If you do not agree to these Terms, you must not use our Services. Continued use of our Services constitutes acceptance of any updates to these Terms.
2. Eligibility
To use our Services, you must:
Be at least 18 years of age or the age of majority in your jurisdiction
Be legally capable of entering into a binding contract under Indian law
Not be barred from receiving services under applicable Indian or international law
Provide accurate, complete, and current registration and billing information
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
3. Account Registration and Security
3.1 Account Creation
To access our Services, you must create an account by providing a valid email address, name, phone number, and payment information. You agree to provide accurate information and to keep it updated at all times.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
Choose a strong password and enable two-factor authentication (2FA) where available
Not share your login credentials with any third party
Notify us immediately at [email protected] upon any unauthorised access or suspected breach of your account
TheCloud.market will not be liable for any loss arising from unauthorised use of your account due to your failure to maintain credential security.
3.3 Account Verification
We reserve the right to verify your identity and business details before activating your account or processing orders. This may include requesting government-issued ID, GST registration, or other documentation.
4. Services
4.1 Service Provisioning
Upon successful payment, we will provision your selected Service within the timeframe specified on our website or order confirmation. Service activation times may vary depending on the product type and verification requirements.
4.2 Service Availability
We strive to maintain high availability of our Services. Planned maintenance windows will be communicated with at least 48 hours' notice where possible. Unplanned outages are governed by our Service Level Agreement (SLA), available at www.thecloud.market/legal/sla.
4.3 Service Modifications
We reserve the right to modify, update, or discontinue any Service or feature at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services, provided we give reasonable advance notice.
4.4 Third-Party Services
Certain features of our Services may integrate with or rely on third-party providers (including domain registries, payment processors, and data centre operators). We are not responsible for the availability, quality, or conduct of third-party services.
5. Pricing, Billing, and Payment
5.1 Pricing
All prices listed on TheCloud Market are exclusive of taxes unless explicitly stated otherwise. Goods and Services Tax (GST) at 18% is applied at checkout for Indian customers and itemized in your invoice. For customers outside India, applicable sales taxes (where required) are calculated and added at checkout by our payment processor. New orders are subject to pricing at the time of purchase.
If a service has an introductory, promotional, registry-set, or premium-domain price, the current renewal estimate or renewal basis will be disclosed before purchase. Renewal prices may change where registry, supplier, tax, currency, regulatory, infrastructure, or other material costs change. We will provide advance notice where operationally practical before a changed recurring price applies.
5.2 Billing Cycle
Services are billed in advance on the cycle selected at the time of purchase (monthly, quarterly, or annually). Invoices are generated automatically and sent to your registered email address.
5.3 Auto-Renewal
All Services automatically renew at the end of each billing cycle at the then-current rate unless you cancel at least 48 hours before the renewal date. You are responsible for managing auto-renewal settings through your control panel.
5.4 Failed Payments
If a payment fails, we will notify you and attempt to collect payment for up to 7 days. During this period, your Services may be suspended. If payment is not received within 15 days of the due date, we reserve the right to terminate your Services and delete associated data.
5.5 GST and Taxes
GST and other applicable Indian taxes will be charged in addition to service fees where required by law. Business customers must provide a valid GSTIN to receive GST invoices. TheCloud.market is not responsible for any taxes you are required to pay in your own jurisdiction.
6. Cancellation and Termination
6.1 By You
You may cancel an eligible recurring Service or disable future renewal through the available account controls. For a registered domain, disabling renewal prevents a future renewal attempt but does not reverse the completed registry transaction, cancel the current registration term, or create a refund entitlement. Cancellation of other recurring Services takes effect as described for that Service. Cancellation does not entitle you to a refund for prepaid periods. 6.2 By Us
We may suspend or terminate your account and Services immediately and without notice if:
You violate these Terms, our Acceptable Use Policy, or any other applicable policy
We are required to do so by law, court order, or governmental directive
Your account is associated with fraudulent or illegal activity
Continued provision of Services poses a risk to our infrastructure or other customers
You fail to pay any amounts due within the notice period
6.3 Effect of Termination
Upon termination, your right to access and use the Services ceases immediately. All data associated with your account may be permanently deleted within 7 days of termination. We strongly recommend maintaining regular backups of your data independently.
7. Intellectual Property
All content, software, trademarks, logos, and materials on the TheCloud.market platform are the intellectual property of TheCloud.market or its licensors and are protected under applicable Indian intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
You retain full ownership of all content and data you upload or store using our Services. By using our Services, you grant us a limited, non-exclusive licence to host, store, and transmit your content solely for the purpose of providing the Services to you.
8. Limitation of Liability
Important:Please read this section carefully as it limits our liability to you.
To the maximum extent permitted by applicable Indian law:
TheCloud.market's total cumulative liability arising out of or related to these Terms or the Services shall not exceed the amount paid by you to TheCloud.market in the 3 months immediately preceding the event giving rise to the claim
We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages
We are not liable for any downtime, data loss, or service failure caused by events outside our reasonable control, including but not limited to DDoS attacks, natural disasters, power failures, or third-party provider failures
Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Indian law.
9. Indemnification
You agree to indemnify, defend, and hold harmless TheCloud.market, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your use of or access to the Services
Your violation of these Terms or any applicable law or regulation
Your violation of the rights of any third party, including intellectual property or privacy rights
Any content uploaded, stored, or transmitted through your account
10. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in [City], India.
Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If unresolved, disputes may be escalated to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual consent.
11. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email to your registered address at least 14 days before they take effect. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance.
